Terms of Service

1. Acceptance of Terms

By accessing or using the HeliosBrick platform (the "Service") provided by Aurevia Tech ("Company", "we", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

HeliosBrick is a SaaS-based infrastructure monitoring platform that provides real-time monitoring capabilities through edge agents, supporting protocols including Redfish and Modbus. The Service includes the cloud platform, edge agents, APIs, and related documentation.

3. Account Registration

You must register for an account to use the Service. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Subscription Plans and Payment

The Service offers Free, Professional, and Enterprise tiers. Paid plans are billed monthly or annually as selected. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with 30 days' notice. Failure to pay may result in service suspension.

5. License and Usage Rights

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service. You may install edge agents on devices you own or control. License files are tied to specific Machine IDs and are not transferable between devices without proper deactivation and reactivation.

6. Acceptable Use

You agree not to: (a) reverse-engineer, decompile, or disassemble any part of the Service; (b) use the Service for illegal purposes; (c) attempt to gain unauthorized access to the Service or its infrastructure; (d) interfere with or disrupt the Service; (e) share your account credentials with third parties; (f) exceed the device limits of your subscription plan.

7. Data Ownership and Privacy

You retain ownership of all data you submit to or collect through the Service. We process your data as described in our Privacy Policy. Monitoring data collected by edge agents is stored primarily on your local devices. Cloud-synced data is processed solely for providing the Service.

8. Intellectual Property

The Service, including all software, documentation, designs, and trademarks, is owned by Aurevia Tech and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

9. Service Availability and SLA

We strive to maintain 99.9% uptime for the cloud platform. Scheduled maintenance will be communicated in advance when possible. Enterprise plans include formal SLA guarantees. We are not liable for downtime caused by factors beyond our control (force majeure, ISP issues, etc.).

10. Support

Support is provided according to your subscription tier: community support for Free plans, priority email support for Professional plans, and 24/7 dedicated support for Enterprise plans. Support response times are best-effort unless otherwise specified in an Enterprise SLA.

11. Termination

Either party may terminate these Terms at any time. You may delete your account through the dashboard settings. We may suspend or terminate your account for violation of these Terms, non-payment, or extended inactivity. Upon termination, your access to the Service will cease, and we will delete your data within 30 days.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUREVIA TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

14. Indemnification

You agree to indemnify and hold harmless Aurevia Tech from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the Republic of China (Taiwan). Any disputes arising from these Terms shall be resolved in the courts of Taipei, Taiwan.

17. Export Compliance

You agree to comply with all applicable export control laws and regulations. You shall not export or re-export the Service to any country, entity, or person subject to trade restrictions.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aurevia Tech regarding the Service. Any prior agreements or understandings are superseded.
